1. Acceptance of Terms

This document is published in compliance with and shall be governed by Indian law, including but not limited to (i) the Indian Contract Act, 1872; (ii) the Information Technology Act, 2000, the rules, regulations, guidelines, and clarifications framed thereunder, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011, and the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011.
This document is an electronic record in the form of an electronic contract formed under the Information Technology Act, 2000 and rules made thereunder and the amended provisions pertaining to electronic documents/records in various statutes as amended by the Information Technology Act, 2000. This document does not require any physical, electronic, or digital signature.

2. Introduction

Welcome to Jutaji! Jutaji, operated by 2SG Jutaji Solutions Private Limited ("Jutaji"), is the sole and absolute owner of the trademark and brand name "Jutaji" and the domain www.jutaji.com and any other subsequent web/mobile application (the "Site"). Jutaji respects your privacy, and the same is maintained as per the Privacy Policy. By accessing the Site, you agree to these Terms. If you do not agree to these Terms (without modification), you are advised not to access or use the Site.

3. Eligibility

By accessing the Site, you represent and warrant that you are at least thirteen (13) years of age or older, or you are visiting the Site under the supervision of a parent or guardian.

4. Ordering Process and Pricing

The Site displays a list of various merchandise and offers for sale, including but not limited to shoes (Products) in the territory of India. All purchases made on the Site are subject to Jutaji's acceptance, which is in its sole discretion. Jutaji may refuse to accept or cancel any order, whether or not the order has been confirmed, for any reason, in its sole discretion, and without liability. If your payment has already been processed for a purchase that is subsequently canceled, Jutaji will issue a refund.
In case a Product appears out of stock, feel free to contact Jutaji for information about the restocking of the Product.

5. Pricing

The price listed on the Site for the Product will be inclusive of taxes and other charges. Jutaji makes every effort to properly price all Products, but errors may occasionally occur. Jutaji reserves the right to cancel orders that include a pricing or discount error.

6. Intellectual Property

All trademarks, service marks, and trade names of Jutaji used on the Site are the registered trademarks of 2SG Jutaji Solutions Private Limited. Any other intellectual property on the Site is the sole property of Jutaji and/or its licensors.

7. Product Maintenance

To maintain the quality of the Products purchased, we suggest the following steps for any minor cleaning and regular maintenance of the Products.
7.1. Introduction: This policy outlines the cleaning and maintenance procedures for biodegradable footwear to maximise their lifespan and environmental sustainability.
7.2. Cleaning Guidelines: Proper cleaning is crucial for biodegradable footwear:
  • Gently remove loose dirt and debris.
  • Wipe with a damp cloth using mild soap and water.
  • Avoid harsh chemicals.
7.3. Deep Cleaning: Perform as needed:
  • Use a basin with lukewarm water and mild detergent.
  • Gently scrub with a soft brush or sponge.
  • Rinse and air dry in a shaded, ventilated area.
7.4. Maintenance:
  • Store in a cool, dry place away from sunlight.
  • Clean laces regularly; insoles are not removable.
  • Reapply eco-friendly waterproofing if applicable.

8. Prohibited Use

You may use the contents of this Site solely for your own non-commercial purposes or to place an order with the Site. Any other use, including reproduction, distribution, display, or transmission of the content of the Site, is strictly prohibited unless authorised by Jutaji.

9. Disclaimer of Warranty and Limitation of Liability for Jutaji:

By using the Jutaji site and its services, you explicitly acknowledge and accept the following terms, in accordance with the maximum extent allowable by applicable law:
  1. The Jutaji site, services, and products are provided "as is," without any form of warranty, whether express, implied, statutory, or otherwise. This includes warranties related to title, non-infringement, merchantability, or fitness for a specific purpose.

  2. Jutaji does not guarantee:

    • Meeting your requirements or uninterrupted or timely services.
    • Correction of errors or defects in the site, services, or products.
    • Conformity of products with site images, descriptions, or suitability for consumption.                                           
  3. Jutaji disclaims all liability concerning misuse, loss, modification, or unavailability of any content or products on the site.

  4. Jutaji shall not be held liable for direct damages and losses except those covered by these terms.

  5. In no event shall Jutaji, its officers, directors, employees, partners, or suppliers be liable to you or any third party for special, incidental, indirect, consequential, or punitive damages, arising from breach of contract or warranty, negligence, tortious actions, or any other claim linked to your use of the Jutaji site, services, or products.

The limitations and exclusions outlined in this section are applicable to the maximum extent permissible by relevant law.

10. Force Majeure

10.1 You acknowledge and agree that Jutaji shall not be responsible for any failure or delay in fulfilling any obligation under these Terms, to the extent that such failure or delay is caused by a force majeure event. A force majeure event refers to any event or circumstance that is beyond the reasonable control of Jutaji, including but not limited to acts of God, natural disasters, acts of terrorism, war, strikes, labor disputes, governmental actions, pandemics, epidemics, and any other events beyond the control of Jutaji ("Force Majeure Event").
10.2 In the event of a Force Majeure Event, Jutaji's performance of its obligations under these Terms shall be suspended for the duration of the Force Majeure Event. Jutaji shall not be liable for any losses, damages, or claims arising out of or related to the Force Majeure Event.
10.3 Jutaji shall make reasonable efforts to mitigate the effects of a Force Majeure Event and to resume its obligations under these Terms as soon as the Force Majeure Event ceases to exist or has been resolved. However, you acknowledge and agree that Jutaji shall not be obligated to provide any compensation or remedy for any delays or disruptions caused by a Force Majeure Event.
10.4 Jutaji reserves the right to terminate, suspend, or modify the Site or any services provided under these Terms, in the event that a Force Majeure Event continues for an extended period and significantly impacts Jutaji's ability to provide its services.
10.5 In the event of a Force Majeure Event, Jutaji will provide reasonable notice to you regarding any delays or disruptions to its services. Jutaji shall not be responsible for any inconvenience, losses, or damages arising from such delays or disruptions caused by a Force Majeure Event.

11. No Third-Party Rights

11.1 These Terms are made solely for the benefit of you and Jutaji, and are of a private nature. As such, these Terms and any rights or obligations herein are not intended to confer any rights or benefits upon any third party, and no third party shall have any right to enforce or rely upon these Terms under the Indian Contract Act or any other applicable law.
11.2 You acknowledge and agree that these Terms create a contractual relationship solely between you and Jutaji. No other person or entity, including any affiliates, group companies, agents, officers, and employees of Jutaji, shall have any rights or obligations under these Terms.
11.3 In the event that any third party attempts to assert any claim or right based on or arising from these Terms, you agree to indemnify, defend, and hold Jutaji harmless from any such claim or demand, including any costs, expenses, or damages incurred as a result.

12. RETURNS, EXCHANGES, AND CANCELLATION POLICY

CANCELLATION: You have the option to request a cancellation of your order for any Product within 24 hours from the assigned delivery date. If you choose not to receive the delivered order, kindly send an email to Jutaji at contact@jutaji.com to initiate the cancellation process. Upon confirmation of your cancellation request, we will promptly initiate the refund process.
EXCHANGE: If you encounter any size issues, prefer a different shoe style, or simply don't like the colour of the purchased Product, you are welcome to exchange the shoes, provided they are unworn. All costs associated with picking up the returned Product and sending you a new one are fully covered by Jutaji.
To initiate an exchange, please click on "Schedule an Exchange/Return" within 7 days of the original delivery date. This will ensure you receive an exchange authorisation promptly.
RETURN: In the event that the Product does not fit properly or you wish to return it for any other reason, you may do so by returning the unworn Product with its packaging intact within seven (7) days from the date of delivery. Please note that if the return is made after seven days, or if the Product is worn, damaged, or not returned in its original packaging, Jutaji reserves the right to decline the refund. The decision of Jutaji in this regard shall be final and binding.
IMPORTANT: To streamline the return process and ensure accuracy, we kindly request that you take a 360-degree Unboxing video of the Product. This will help us verify the condition of the Product upon receipt.
It's important to be aware that no returns or claims of any nature will be entertained beyond 7 days from the delivery date. This period is strictly adhered to.
NOTE: Products purchased during a Sale period are generally not eligible for returns, unless the product delivered is found to be defective or damaged.
RETURN PROCEDURE:
  1. Click on "Schedule an Exchange/Return" within 7 days of the original delivery date to obtain a return authorisation.
  2. You will receive a confirmation email as soon as the returned Product is received.
  3. We will process your refund within seven (7) business days of receiving the returned package.
Please ensure to follow the provided return process and adhere to Jutaji's refund policy, which outlines the terms, timelines, and procedures for refunds. For detailed information, refer to the Refund Policy on our official Site.

 

13. Engagement, Content, and Communication Guidelines

Product Availability and Notifications: If a Jutaji product is currently unavailable, we invite you to connect with us using the provided contact information. Feel free to drop us a message to inquire about the possibility of restocking the specific Jutaji product. We'll be more than happy to assist you and keep you informed about its future availability.
User-Created Content and Submissions: When you share reviews, feedback, comments, or any other content on related links, please understand that such content will be publicly showcased on the Jutaji website, subject to Jutaji's sole discretion. Jutaji reserves the right to display this content as-is without any modifications, alterations, or moderation by Jutaji or its team members.
You acknowledge and consent that Jutaji has the liberty to utilise any comments, information, or ideas contained in the communications you send or submit to the website. This may involve using them for purposes like product and service development, manufacturing, marketing, and enhancing the website or other offerings, without any obligation to notify you, offer compensation, or provide acknowledgment.
User Responsibility and Content Oversight: Jutaji is not able to review each communication and material posted or generated by website users. As a user, you acknowledge that the website acts as a channel for content distribution and is not accountable for monitoring or assuming responsibility for user-generated content or activities on the site.
By using the website, you agree not to post or disseminate content that Jutaji, at its sole discretion, deems abusive, harassing, threatening, defamatory, obscene, fraudulent, misleading, infringing on intellectual property rights, invasive of privacy or publicity rights, infringing on Jutaji's or another party's rights, illegal, or otherwise objectionable.
Furthermore, you are prohibited from uploading commercial content on the site or using the platform to solicit others to participate in commercial online services or organisations.

14. Governing Law and Jurisdiction in the State of West Bengal, Kolkata

This agreement shall be governed by and construed in accordance with the laws of the State of West Bengal, India. Any dispute arising out of or relating to this agreement shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

15. Complaints and Dispute Resolution Mechanism

 16. Policy for NDNC

By using the Website and/or registering yourself at Jutaji.com, you authorise us to communicate with you via email, phone calls, or SMS to provide you with information about our services, share product knowledge, offer promotional deals available on our website, and present offers provided by associated third parties. For these purposes, we may collect personally identifiable information. Regardless of whether you have registered under the National Do Not Call (NDNC) or Do Not Disturb (DND) or National Customer Preference Register (NCPR) service, you still grant us permission to contact you for the mentioned purposes for a period of 365 days from the date of your registration with us.
This Privacy Policy outlines how Jutaji treats the personally identifiable information we collect when you visit our website and utilise our services. The policy also covers information shared with us by our business partners. It's important to note that this policy does not apply to specific Jutaji products or services, visits to certain pages on our website, or participation in promotions.
Jutaji may receive personally identifiable information from our business partners as well. When you register with Jutaji, we request your first name, last name, contact number, email address, date of birth, and gender. Upon registration and signing in to our services, you are no longer anonymous to us. During registration, you might also be asked to provide your mobile phone number, email ID, pager, or other device details to receive text messages and other service-related communications. 17. Miscellaneous:

  1. No Third-Party Rights: These terms are established solely for the benefit of you and Jutaji and are not intended to be enforceable by any third party as per the laws of contract in India.

  2. Waiver: Jutaji's failure to enforce any provision of these terms shall not be considered a waiver of that provision or any other rights under these terms.

  3. Assignment: Jutaji may assign its rights and obligations under this agreement to any party without notice to you.

  4. Electronic Communications: By using the Site, you agree to receive electronic communications from Jutaji. Any electronic communication sent by Jutaji shall satisfy any legal communication requirements, including those that require communication in writing.
